## 1. About these terms

1.1 These terms govern your membership of The Room and your use of our space at 121 Avoca Street, Randwick. In these terms, "we", "us" and "The Room" mean The Room Australia Pty Ltd, and "you" means the member.

1.2 By joining The Room, or by entering the space as a casual visitor or a guest, you agree to these terms.

1.3 You are responsible for making sure that anyone you bring into the space follows these terms.

1.4 We may update these terms from time to time. We will give you at least 30 days notice of any change that affects you, and the current version will always be published on our website.

1.5 Our fees are set out in our rate card, published separately and updated from time to time. Our privacy policy is published separately and forms part of these terms.

---

## 2. Membership

### Applying

2.1 Membership of The Room is by application. We may accept or decline any application at our discretion and we are not required to give reasons.

2.2 Membership is personal to you. You may not transfer, share, sell or sublet your membership, your days or your space, except under a shared membership arranged with us under clause 2.7.

### Membership types

2.3 We offer Resident, Studio and Creative memberships. What each includes, including the number of days each week, is set out in our rate card.

2.4 Your days are nominated when you join and are allocated by us. We hold those days for you and you do not need to book them.

2.5 If you want to change your nominated days, ask us. We will accommodate changes where we can, but a change is at our discretion and is not an entitlement of your membership.

2.6 If you want to use the space on a day outside your allocation, ask us. Additional days are available subject to space and are charged at the rate set out in our rate card, added to your next invoice.

### Shared memberships

2.7 A shared membership allows two people to share a single membership and its days. Both people must apply, be accepted and agree to these terms individually.

2.8 Under a shared membership:

(a) the two members share one allocation of days and may not both use the space on the same day unless we agree;

(b) one member is nominated as the payer and is invoiced for the full membership fee;

(c) both members are jointly and severally liable for all amounts payable, meaning we may recover the full amount from either of you; and

(d) if either member leaves, the shared membership ends and the remaining member may continue on an individual membership at the applicable rate.

### Founding rates

2.9 Founding rates are offered for a limited period before and shortly after opening. A founding rate is held for as long as your membership continues without interruption.

2.10 A founding rate:

(a) is kept if you pause your membership under clause 2.11;

(b) is kept if you move between membership types, where a founding rate exists for the type you move to;

(c) is not transferable to another person; and

(d) ends if you cancel your membership, including if you later rejoin.

2.11 **Pausing.** You may pause your membership once in any 12 month period, for up to one month, on 30 days written notice. Your allocated days and your founding rate are held during a pause. Unused pause entitlement does not accrue or carry over.

3.2 The space is staffed from 8am to 2pm on weekdays. Outside those hours the space is unstaffed.

3.3 During unstaffed hours you use the space at your own risk. If you are the last member to leave, you must secure the space in the way we have shown you.

3.4 We may close the space or restrict access where we reasonably need to, including in an emergency, to carry out works or repairs, or to comply with a direction from an authority. We will give you as much notice as we can.

3.5 The building is heritage listed. You must not fix anything to, drill into, paint or otherwise alter any wall, floor, ceiling, joinery or fitting. If you want to display something, ask us.

### Meeting rooms

3.6 The Production Room and the Sunroom are available to members to book through our member portal. Booking limits and any charges are set out in our rate card.

3.7 The Production Room is used as a production studio on some days and will not be available for booking on those days. We will publish those days in advance where we can.

3.8 If you cannot use a booking, cancel it so that another member can. We may charge for repeated late cancellations or no shows.

3.9 We may move a booking to another room of a similar standard where we need to.

4.6 You are responsible for your guests, for their conduct, and for any loss or damage they cause.

---

## 5. Casual day visits

5.1 Casual day visits may be booked through our website. Bookings are for one person, are not transferable, and may not be made on behalf of someone else.

5.3 A casual day visit does not include:

(a) desks or seating on the first floor;

(b) monitor desks;

(c) meeting rooms;

(d) the maker space;

(f) any guest entitlement.

5.4 We may decline or cancel a casual booking at any time and for any reason, and will refund the booking if we do. We may also ask a casual visitor to leave the space.

5.5 We may limit how often any person books casual day visits, and may ask a frequent visitor to apply for membership instead.

5.6 Casual bookings cancelled with at least 24 hours notice are refunded. Bookings cancelled with less notice are not refunded.

## 6. Maker space

6.1 The maker space is available to Resident, Studio and Creative members. It is not available to casual visitors or guests.

6.2 You use the maker space and its equipment at your own risk. You must use equipment safely and for its intended purpose, follow any instructions we give you, and report any damage, fault or injury to us immediately.

6.3 Materials, firing and any other external costs are charged to you at cost and added to your next invoice.

6.4 Firing is carried out off site by a third party. We do not guarantee the outcome, the condition or the timing of any firing, and we are not responsible for work that is damaged, lost or destroyed in the process.

6.5 The maker space is for your own personal and creative work. It is not available for commercial production. If your use becomes substantial, we will talk to you about a separate arrangement.

6.6 Clean the maker space and put equipment away after you use it. We may charge a cleaning fee if you do not.

6.7 Tell us if you leave finished work in the space. We may dispose of work left uncollected for more than 30 days after we have contacted you about it.

---

## 7. Café partner

7.1 Resident, Studio and Creative members receive a daily coffee and a discount on the menu at our partner café, as set out in our rate card. Casual visitors and guests do not.

7.2 The café is an independent business. We are not responsible for the products or service it provides, and any issue with an order is between you and the café.

7.3 Amounts you spend at the café under the member discount are added to your next invoice from us.

7.4 We may change or withdraw the café benefit, or change partner, on notice to you.

---

## 8. Business address and mail

8.1 Resident and Studio members may use 121 Avoca Street, Randwick as the registered address of one business with ASIC, and may have mail for that business delivered here.

8.2 Creative members, casual visitors and guests may not use the address.

8.3 We hold mail for collection. We do not forward mail, and we are not responsible for mail that is lost, delayed or not delivered.

8.4 When your membership ends you must immediately update your registered address with ASIC, remove the address from your website, marketing and any other material, and stop using it. If you do not, we may notify ASIC that we have withdrawn our consent to your use of the address.

8.5 This clause survives the end of your membership.

---

## 9. Fees and payment

9.1 Membership fees are payable monthly in advance by direct debit from the card or account you nominate. A part month is charged pro rata.

9.2 Additional days, café charges, maker space materials and any other charges are billed in arrears on your next invoice.

9.3 We may change our fees on at least 30 days written notice. Clause 2.9 applies to founding rates.

9.4 If a payment is declined we may charge an administration fee, set out in our rate card. If an amount stays unpaid we may suspend your access until it is paid.

9.5 Where you have agreed a minimum commitment in exchange for a reduced rate and you end your membership before that period finishes, the reduction no longer applies and we may charge you the difference between the reduced rate and the standard rate for the months you have already used. You authorise us to charge that amount to your nominated payment method.

---

## 10. Photography, filming and content

10.1 We photograph and film in the space for our own marketing, editorial and community content.

10.2 By joining, you agree that you may appear incidentally in that material, and that we may use it without payment to you. Tell us in writing if you would prefer not to appear, and we will do our best to accommodate that.

10.3 If we want to feature you, for example in an interview, a profile or a recorded session, we will ask you to sign a separate release first.

10.4 People who hire the space must not photograph or film members without their consent.

---

## 13. Your property and insurance

13.1 You are responsible for your own property in the space. Do not leave valuables unattended.

13.2 We hold public liability insurance covering the premises and our own operations. That insurance does not cover you, your business, your work, your property, or any liability you owe to your clients, your guests or anyone else.

13.3 We strongly recommend that you hold your own public liability insurance and contents insurance, and any other insurance appropriate to your work.

13.4 If you leave property in the space after your membership ends, we will contact you. If it is still here 30 days later we may remove and dispose of it, and you will be responsible for our reasonable costs of doing so.

---

## 14. Our responsibility

14.1 Nothing in these terms excludes, restricts or modifies any right you have under the Australian Consumer Law that cannot be excluded.

14.2 Subject to clause 14.1, and to the extent the law allows, we are not responsible for:

(a) loss, theft or damage to your property;

(b) loss arising from the failure or unavailability of any service or facility, including internet, power or access to the space; or

17.4 If any part of these terms is found to be unenforceable, the rest continues to apply.

## Open items, to resolve before publication

These are deliberately unresolved and need a decision or a review before this document goes live.

1. **Legal review.** Roger to review, with particular attention to clauses 9.5, 12.5, 13.2 and 14.2 under the unfair contract terms regime, since members are largely sole traders and small businesses.

2. **Insurance wording.** Confirm clause 13.2 with Bradley against the AIG policy before publishing.

3. **Rate card.** Needs to exist as a separate published document before these terms can go live, since they refer to it throughout.

4. **Privacy policy.** Still to be written. Required by clause 11.2 and by Cobot before External Bookings can be enabled.

5. **Lease check.** Confirm the 121 Avoca lease permits members to use the address under clause 8.1.

6. **Meeting room cancellation.** Clause 3.8 is currently discretionary. Decide whether to set a fixed window and charge.

7. **Casual booking cut off.** Decide whether casual bookings close at a set time on the day, as The Commons does, or stay open all day.

8. **Guest sign in.** Clause 4.4 assumes a sign in method. Confirm what that is, given the space is unstaffed after 2pm.

9. **Access method.** Clauses 3.3 and 15.3 assume keys or access devices. To be updated once the access approach is settled.

10. **Shared membership same day use.** Clause 2.8(a) currently prevents both members using the space on the same day. Confirm this is intended.

11. **Public holidays.** Clause 3.1 closes the space on public holidays. Confirm.
